1. Introduction

2. Terms of Use

These terms of use are the terms and conditions of an agreement between the person accessing and/or using the Website (including any Content (as defined in clause 5 below)) (“You” or “Your”) and OzTAM. Your use of the Website and its Content is subject to these terms and conditions and any other terms, conditions, notices or disclaimers displayed on the Website (collectively, the “Terms of Use”). The Terms of Use apply no matter how You may access or use the Website and Content, including but not limited to via personal computers, laptops, mobile devices and/or other internet connected devices. If You do not agree with any of the Terms of Use, You should immediately discontinue Your access to and/or use of the Website and its Content.

These Terms of Use should be read together with OzTAM’s Privacy Policy.

3. Acceptance of Terms of Use

The OzTAM logo is a registered trademark of OzTAM Pty Limited and may not be used without the prior specific and written permission of OzTAM. No other trademark appearing in the Web Site may be used without the prior specific and written permission of the trademark owner.

4. Changes to the Terms of Use

OzTAM reserves the right to change the Terms of Use at any time without notice to You. Please ensure You review the Terms of Use regularly because You will be deemed to have accepted, and be bound by, any change to the Terms of Use by Your continued use of and/or access to the Website or its Content.

5. Content and Intellectual Property Rights

All information, data, reports, text, images, trademarks, logos, graphics, designs, photographs, visual interfaces, videos, audio, artworks, software, code, advertisements, expression and “look and feel” and other material on or accessed through the Website (“Content”) is owned by, or licensed to, OzTAM. The Content is protected by the laws of Australia and (where applicable) other countries, including trademark, copyright, patent and other intellectual property rights.

You do not have any right, title or interest in or to any intellectual property or other proprietary rights relating to the Website or Content. You agree not to engage in any conduct or authorise or allow others to engage in any conduct that may infringe any intellectual property rights in the Website or any Content.

The OzTAM logo is a registered trademark of OzTAM Pty Limited and may not be used without the prior written permission of OzTAM. No other trademark appearing on the Website may be used without the prior written permission of the trademark owner.

6. Use of Content and Restrictions on Use

All Content is presented for Your personal information only, and You are only authorised to view the Content through Your web browser. You are not permitted to download or reproduce any Content except when expressly permitted by OzTAM. For the avoidance of doubt, OzTAM provides its consent to download and reproduce in accordance with these Terms of Use, where the functionality to download Content from the Website is publicly available. Any change to the Terms of Use as set out in clause 4 above will not affect any download of Content that occurred prior to the update to the Terms of Use.

When You access any Content on the Website, You agree that You do so on the following conditions:

(a) You may retrieve, review or download the Content for your personal information only.

(b) You may save a local copy of or print Content from the Website for Your own personal information, and to inform others about it, but You may not charge any fee for any use. All commercial use or exploitation of any Content on the Website is expressly prohibited.

expressly authorised in writing by OzTAM.

(k) You are not permitted to use any Content in any way that implies or could imply that OzTAM has endorsed a product or service.

OzTAM reserves the right to take all steps necessary to prevent the unauthorised use, copying, reproduction, distribution or exploitation of any part of the Website or Content.

You agree that OzTAM may notify and/or cooperate with any authorities and law enforcement agencies in relation to any of Your activities in relation to the Website and/or Content, including providing any and all information held by OzTAM, to those authorities and law enforcement agencies.

7. Variation of Website and/or Content

OzTAM may from time to time and without any notice, vary, modify or discontinue, temporarily, or permanently, any or all of the Website and/or any Content.

The Website may contain hyperlinks to Internet web sites which are owned, operated or controlled by third parties. OzTAM is not responsible for the contents of any linked website or any hyperlink contained in the linked web site. The inclusion of any link is for convenience only and does not imply any endorsement of the linked website by OzTAM. Any link within the OzTAM Website, which takes You to a third-party website is clicked on entirely at Your own risk.

OzTAM does not endorse or in any way adopt representations made by advertisers on the Website or any linked website, nor are any offers made by such advertisers or website operators also made by OzTAM. To the extent permitted by law, OzTAM accepts no responsibility for any interaction between You and the relevant third party and is released from any liability arising out of or in any way connected with such interaction.

9. Availability of Website and Content

From time to time, OzTAM may undertake maintenance or upgrades to parts of the Website, and there may be scheduled or unplanned outages to parts of the Website or other outages for reasons beyond OzTAM’s control which may affect or suspend Your ability to access the Website and Content.

You may also be required to upgrade software to continue using parts of the Website. If You decline an upgrade or do not upgrade, You may not be able to use or access parts of the Website and/or Content.

There are also many factors that may affect the quality, timeliness and display of the Content on the Website. Such factors include but are not limited to Your location, internet speed or bandwidth, network traffic, OzTAM’s Content delivery networks and the type of device being used to view the Content. OzTAM makes no warranties or representations about the quality of Your experience or that Your experience will be seamless or uninterrupted.

10. Costs of accessing Website and Content

You are responsible for all costs and expenses associated with your access to the Website and Content, including but not limited to internet or data service provider charges and all devices, equipment and software used to access the Website and/or Content. In no circumstances will OzTAM be liable for any such costs and expenses.

11. Use of Website and Content for artificial intelligence purposes

OzTAM expressly prohibits, without OzTAM’s prior written approval, any use of the Website or Content (including any associated metadata) in any manner for any software, machine learning and/or artificial intelligence purposes, including without limitation for the purposes of training or development of artificial intelligence technologies or tools or machine learning language models, or otherwise for the purposes of using or in connection with the use of such technologies, tools or models to generate any data or content and/or to synthesise or combine with any other data or content. OzTAM reserves all rights to license any use of the Website and Content for any such purposes.

12. Privacy

OzTAM reserves the right to perform statistical analysis of user activity and characteristics in order to measure interest in and use of the various areas in the Website and to inform others of such information, as well as the number of users that have been exposed to or clicked on any particular areas in the Website.

You acknowledge that non-personal information and data may be automatically collected through the standard operation of OzTAM’s internet servers or through the use of cookies. If You do not want information collected through the use of cookies, You should use Your browser’s cookie disabling feature. You should note, however, that if cookies are disabled certain features may not be available. The use of cookies on the Website enables OzTAM to deliver and maintain customised options when You make return visits to the Website.

13. Disclaimers

Subject to clause 14, to the maximum extent permitted by law:

(b) Your use of the Website and Content is at Your risk.

(c) OzTAM excludes all terms, conditions, representations and warranties in relation to the Website and Content. This includes,
without limitation, that:

1. the Website and/or Content will be uninterrupted, timely, accurate, correct, reliable, complete, secure, fit for purpose or error free.
2. the Website and its servers are free of viruses or other harmful code.
3. any errors, omissions or defects in the Website and/or Content will be corrected or that the Website and/or any Content will be updated.
4. OzTAM will be able to prevent any illegal, harmful or inappropriate use, modification or alteration of the Website and/or its Content, or that OzTAM will give notice of such use, modification or alteration.

14. Limitation of Liability and Indemnity

To the maximum extent permitted by law:

(a) OzTAM is not responsible to You or anyone else for any direct or consequential loss suffered or incurred in connection with the
use of or reliance on, the Website or any Content.

(b) OzTAM excludes any liability which may arise as a result of the use of or reliance on the Website or any Content, no matter how such liability arises (including for breach, in tort (including negligence), under statute or any other basis).

To the extent that OzTAM is not entitled to exclude its liability (including, for example, under the Australian Consumer Law in the Competition and Consumer Act 2010 (Cth)), OzTAM limits its liability, to the extent permitted by law, to the resupply of the Website or Content as applicable.

You agree to indemnify OzTAM for any loss or liability arising out of Your use of the Website and/or any Content, to the extent such loss is caused by your negligence or breach of these Terms of Use.

15. Termination

You agree that OzTAM may, in its absolute discretion and with or without notice to You, terminate or suspend Your access to the Website and/or any Content on any reasonable grounds, including but not limited to.

(a) any actual or suspected breach by You of these Terms of Use;

(b) any request by law enforcement authorities or agencies;

(c) any discontinuation or modifications to part of the Website and/or any Content;

(d) any technical issues or problems;

(e) any extended periods of account inactivity;

(f) any breach of third party rights by You;

(g) where OzTAM reasonably suspects You have used the Website or Content for a fraudulent, illegal or disreputable purpose.

OzTAM will not be liable to You or any third party for any such action in accordance with this clause 15.

16. Severability

If any clause of these Terms of Use is deemed to be invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which will remain in full force and effect.

17. No waiver

No waiver of any term of these Terms of Use shall be deemed to be a further or continuing waiver of such term or of any other term. Any failure to assert any right under these Terms of Use shall not constitute a waiver of such right.

18. Governing Law

These Terms of Use and any issues arising under these Terms of Use will be governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia.

19. Notices

Notices to You may be made by various means, including by email, regular mail or by displaying notices or links to notices on the Website.
